1. Who this is between
MISE Systems Ltd, a company registered in England and Wales, and the person or organisation that opens an account. If you are accepting on behalf of a company, you confirm you are authorised to do so.
2. What you get
A licence to use the application for the term you have paid for, at the seat count and render volume of your tier. The licence is non-exclusive and non-transferable. We may change the software, but we will not remove a capability your tier is sold on without 60 days' notice.
3. What you own
You own your output. We claim no rights in the scripts you upload, the references you lock, or the frames, clips, cuts and audio you produce. You may use them commercially without restriction or attribution. You keep those rights after you stop paying, and you can export everything at any time.
4. What you must not do
- Upload material you do not have the rights to use.
- Create a likeness of a real person without a signed release, or of any person the likeness policy excludes.
- Produce material that is unlawful, that sexualises minors, or that is intended to deceive a viewer about a real event or a real person's conduct.
- Resell access, share seats outside your organisation, or use the service to build a competing model.
We will suspend an account that breaches this section, and we will tell you why.
5. Volumes and billing
Subscriptions run monthly or annually and renew automatically until cancelled. A frame render is one still at project resolution; a motion clip is one generated shot of up to twelve seconds. Re-renders of a killed take are not counted. Unused volume rolls over for 30 days and no further. Cancel any time — the term you have paid for runs to its end, and we do not pro-rate refunds except where the law requires it.
6. Availability
We target 99.5% monthly availability, measured excluding scheduled maintenance announced at least 48 hours in advance. Studio agreements carry a contractual SLA with service credits. Nothing here is a promise that a given model provider will always be reachable.
7. Liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. Beyond that, our total liability in any twelve-month period is limited to the fees you paid us in that period, and neither party is liable for loss of profit, loss of production or indirect loss.
8. Confidentiality
Your production material is confidential. We will not disclose it except where you instruct us to, or where we are legally compelled — in which case we will tell you first unless we are prohibited from doing so.
9. Ending it
You can close your account at any time from the application. We can terminate for non-payment after 14 days' notice, or immediately for a breach of section 4. On termination you have 30 days to export, after which your data is deleted.
10. Law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
